Terms and Conditions

1. Scope

These General Terms and Conditions (GTC) apply to all contracts regarding services in the field of Performance Marketing (specifically Meta Ads Management) between Oleksandr Nikitin (hereinafter "Agency") and the Client.

2. Scope of Services

The scope of services results from the respective individual offer or contract. The Agency owes the contractually agreed service (e.g., setup and management of ads), but not a specific economic success (ROAS, certain number of leads), as this depends on market parameters.

3. Client's Duties

The client will provide in a timely manner all documents, access (Ads Manager, Website backend for tracking), and information necessary for the execution of the service.

4. Payment Terms

Invoicing occurs according to individual agreements. Standardly, management fees are invoiced at the beginning of the month (pre-paid).

5. Termination

The notice period is 30 days to the end of the respective contract month, unless otherwise individually agreed. Terminations must be in writing (email is sufficient).

6. Limitation of Liability

The Agency is only liable for damages caused by intent or gross negligence. Liability for slight negligence is excluded to the extent permitted by law. Liability is in any case limited to the amount of the net fee paid in the respective contract period.

7. Jurisdiction and Applicable Law

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Vienna, Austria.

8. Severability Clause

Should individual provisions of these GTC be or become invalid, this shall not affect the validity of the remaining provisions. In place of the invalid provision, a valid regulation shall apply that comes closest to the economic purpose of the invalid provision.
